1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client" or "User"), and Northflow Studio Ltd ("Company," "we," "us," or "our"), concerning your access to and use of our website, API, and software platform.
2. Description of Platform & Services
Northflow Studio Ltd provides access to an AI-enabled software platform for e-commerce operations, including but not limited to:
- Beta access to data structuring and operational intelligence tools;
- AI-supported reporting automation;
- Logistics data processing and validation features;
- API integration access for modern commerce stacks.
Specific deliverables and access tiers are defined in individual Beta Testing Agreements, Pilot Programs, or Software License Agreements per client.
3. Intellectual Property Rights
Unless otherwise indicated, the Site, our platform, and our proprietary software architecture are our proprietary property. All source code, databases, algorithms, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
4. Client Obligations
By using our software or joining our waitlist, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Terms of Service.
5. Payment and Licensing Terms
Fees for software licensing or API access are set forth in the applicable Software License Agreement or Invoice. Unless otherwise agreed in writing, all invoices are due and payable within thirty (30) days of the invoice date. All fees are exclusive of applicable taxes, which shall be the responsibility of the Client.
6. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our software platform.
7. Governing Law
These Terms shall be governed by and defined following the laws of England and Wales. Northflow Studio Ltd and yourself irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
