1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Northflow Studio Ltd ("Company," "we," "us," or "our"), concerning your access to and use of our website and professional services.
2. Description of Services
Northflow Studio Ltd provides digital consultancy services, including but not limited to:
- Strategic Content Engineering and production;
- E-commerce UX auditing and technical analysis;
- Platform logistics testing and data intelligence;
- Tech stack integration consultancy.
Specific deliverables are defined in individual statements of work (SOW) or service agreements per client.
3. Intellectual Property Rights
Unless otherwise indicated, the Site and our proprietary auditing methodologies are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
4. Client Obligations
By using our services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you have the legal capacity and you agree to comply with these Terms of Service.
5. Payment Terms
Fees for our services are set forth in the applicable Service Agreement or Invoice. Unless otherwise agreed in writing, all invoices are due and payable within thirty (30) days of the invoice date. All fees are exclusive of applicable taxes, which shall be the responsibility of the Client.
6. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services.
7. Governing Law
These Terms shall be governed by and defined following the laws of England and Wales. Northflow Studio Ltd and yourself irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
